District Officers Voting

PolA Rationale: 

Membership within Optimist International, which include Optimist Districts, is made up of Optimist Clubs. It is these Member Clubs that drive the direction and actions of an Optimist District. Clubs are given this authority by selecting a representative from their Club, typically the Club President, to represent the Club’s interests as a voting Member of the District Board of Directors.Each year, Optimist Clubs elect and approve the Officers of an Optimist District. District Officers are Members of the District Board of Directors, and they also form the District Executive Committee. In between the quarterly District Board of Directors Meetings, the District Executive Committee may meet to address issues and oversee the day-to-day operations and business of the District. As Members of the District Executive Committee, District Officers act to represent the interests of all of the Optimist Clubs within the District. This is an authority that is given to the District Officers by the Optimist Clubs.In any given year, not every Club has a Club Member who is a District Officer, and some Clubs may have more than one person that is a District Officer. In order to ensure that one Club does not have more voting power and influence in the District over another Club, District Officers shall be non-voting Members of the District Board of Directors. This guarantees that each Club is treated equally and fairly as a Member of the District Board of Directors.

Section 3.01 District Administration
The business of the District shall be administered by the District Board of Directors. The Board of
Directors of each District shall consist of the Officers of the District, the Immediate Past Governor, and
the Club President of each Club in the District. Should the Club President of a Member Club be unable
to attend, a Delegate from that Club would be allowed to speak and act as the Club President, in the
conduct of the business coming before the District Board of Directors. The JOI Governor shall serve as a
non-voting Member on the District Board of Directors.

non-voting Member on the District Board of Directors. All Members of the District Executive
Committee, including the District Officers and the Immediate Past Governor, shall be non-voting
Members of the District Board of Directors. The District Governor may only vote as a Member of
the District Board of Directors in which their vote would affect the outcome of the vote, such as to
create or break a tie, or two-thirds (2/3) for matters requiring a two-thirds (2/3) vote
